These Terms & Conditions govern your access to and use of the websites, services, and products provided by Chione LLC and its operating companies: Chione Trucking, Boreas Iceman, and Chione Relief (collectively, "Chione," "we," "us," or "our"). By accessing or using any of our websites or services, you agree to be bound by these Terms.

Material changes will be communicated through email notification (if you have an account), prominent website notices, and service notifications. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

5. Orders and Payment

Placing Orders

When you place an order, you are making an offer to purchase at the stated price. We reserve the right to accept or reject any order. Order confirmation does not guarantee product availability. We may require additional verification for large or unusual orders.

10. Disclaimers and Limitations of Liability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF NON-INFRINGEMENT, WARRANTIES THAT SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF INFORMATION.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHIONE LLC AND ITS OPERATING COMPANIES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; DAMAGES EXCEEDING THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM; OR DAMAGES ARISING FROM UNAUTHORIZED ACCESS, SERVICE INTERRUPTIONS, OR THIRD-PARTY CONDUCT.

Service-Specific Limitations

Chione Trucking: Our liability for freight claims is limited to the declared value of the shipment or $0.60 per pound, whichever is less, unless you purchase additional cargo insurance.

Chione Relief: We are not liable for delays or inability to provide services due to force majeure events, government orders, or conditions beyond our reasonable control.

11. Indemnification

You agree to indemnify, defend, and hold harmless Chione LLC, its operating companies, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, your violation of any third-party rights, your negligent or wrongful conduct, or content you submit or post.

12. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters (hurricanes, earthquakes, floods, fires), war, terrorism, or civil unrest, government actions or regulations, labor disputes or strikes, pandemics or public health emergencies, utility failures or telecommunications outages, or severe weather conditions. During force majeure events, our obligations are suspended for the duration of the event.

13. Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to contact us at legal@chionellc.com and attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

Binding Arbitration

If informal resolution fails, any disputes arising from these Terms or our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Franklin, Tennessee, unless otherwise agreed. The arbitrator's decision is final and binding. Each party bears its own costs unless the arbitrator decides otherwise.

Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

Opt-Out

You may opt out of arbitration by sending written notice to legal@chionellc.com within 30 days of first accepting these Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Tennessee and the United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Williamson County, Tennessee. You consent to the personal jurisdiction of these courts.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Chione LLC regarding your use of our services. These Terms supersede all prior agreements, understandings, or communications.

18. Special Provisions

Government Contracts

Services provided under government contracts (federal, state, or local) are subject to the terms and conditions of the specific contract, which take precedence over these Terms in case of conflict.

Business-to-Business Services

For B2B services (Chione Trucking), additional terms may apply as stated in our service agreements, rate confirmations, or contracts. In case of conflict, the specific service agreement controls.

Emergency Services

Chione Relief services provided during declared emergencies are subject to applicable emergency management laws and regulations, which may modify or supersede certain provisions of these Terms.
